These terms apply to the delivery of advisory, strategic and creative services from Billie Brand Studio to business clients.
By engaging Billie Brand Studio, the client accepts these terms, unless otherwise agreed in writing.
1. About the Services Billie Brand Studio delivers advisory, strategic and creative services to businesses, including – but not limited to:

brand strategy
-
creative direction
-
concept development
-
positioning
-
idea development
-
advisory related to brand, communication and expression
-
tailored recommendations and deliverables adapted to the client's brand, goals and needs
Scope, deliverables, price and timeline are agreed upon in a proposal, project description, email or other written confirmation.
2. Agreement An agreement is considered entered into when the client accepts a proposal, project description, price estimate or otherwise
confirms the start of the engagement in writing.
3. Client Responsibilities The client is responsible for:
-
providing accurate and relevant information about the business, target audience, products/services and existing brand
-
delivering necessary materials, input and decisions within agreed deadlines
-
appointing a contact person with decision-making authority
-
providing feedback and approvals within a reasonable time
Delays or lack of cooperation from the client may result in postponed delivery, revised timelines and/or additional costs.
4. Delivery and Changes in Scope Deliverables are provided in accordance with what has been agreed for each individual engagement. Minor adjustments and feedback are a natural part of the process and are handled on an ongoing basis in collaboration with the client. Changes, additions or work that significantly exceeds the agreed scope are considered additional work and may be invoiced separately by further agreement.
5. Pricing and Payment Price is agreed per project, as a fixed fee or by other written agreement.
Unless otherwise agreed, the following payment terms apply:

40% of the agreed amount is invoiced upon project start

60% of the agreed amount is invoiced prior to final delivery
-
Payment is due within 14 days of the invoice date
In the event of late payment, interest and any collection costs may be applied in accordance with applicable legislation.
Billie Brand Studio may withhold final delivery, final materials and transfer of rights until full payment has been received.
6. No Guarantee of Specific Results Billie Brand Studio delivers advisory, strategic and creative services based on professional judgement, experience and information provided by the client.
We do not guarantee specific business, financial or market results, including – but not limited to:
-
increased revenue
-
increased visibility
-
more leads
-
higher conversion
-
growth in followers or engagement
-
specific campaign results
-
commercial impact of strategic or creative recommendations
The client is solely responsible for all decisions related to the implementation, use and further application of deliverables, strategies and recommendations.
7. Limitation of Liability Billie Brand Studio is only liable for direct losses caused by documented material breach on our part.
To the extent permitted by law, Billie Brand Studio is not liable for:

indirect losses
-
consequential damages
-
loss of profit
-
loss of revenue
-
lost business opportunities
-
losses resulting from the client's implementation, lack of follow-through or third-party relationships
Billie Brand Studio's total liability under an engagement is in any case limited to the amount the client has actually paid for the relevant deliverable or project.
8. Creative Judgement and Subjective Elements The client acknowledges that creative, strategic and brand-related services involve professional judgement and subjective elements.
Disagreement about taste, style, direction, preferences or creative choices does not in itself constitute a defect, as long as the deliverable is within the agreed scope and based on the client's brief, goals and information.
9. Intellectual Property Rights and Ownership Unless otherwise agreed in writing, the following applies:

The client receives ownership of the final approved and fully paid deliverable

Rights to the final deliverable are transferred only when the full agreed fee has been paid
Billie Brand Studio retains all rights to:
-
working methods
-
processes
-
templates
-
frameworks
-
general know-how
-
sketches, drafts and alternative proposals not included in the final delivered material
-
concepts, formulations, directions or proposals that are not selected or purchased as part of the final deliverable
Billie Brand Studio is free to further develop and use its general experience, methods and expertise in other projects, as long as this does not involve a breach of confidentiality or use of the client's confidential information.
10. Portfolio and Reference Use Unless the client requests otherwise in writing, Billie Brand Studio may mention the client as a client and use published work in its own portfolio, case presentations, social media and marketing.
Material that is confidential, unlaunched or sensitive will not be used publicly until the client has published it themselves or written consent has been given.
11. Confidentiality Both parties shall treat confidential information accessed through the collaboration as confidential, and not share such information with unauthorised parties without written consent, unless sharing is necessary for the delivery or required by law.
12. Third-Party Tools and Content If the delivery involves third-party tools, platforms, software, fonts, stock material, AI tools, plugins or other external solutions, the client is responsible for any licences, subscription terms and terms of use related to these, unless otherwise agreed in writing.
Billie Brand Studio is not responsible for errors, changes, downtime or rights issues with third-party providers.
13. Cancellation, Pause or Termination In the event of cancellation or termination of the project after start, Billie Brand Studio is entitled to payment for work already completed, as well as any non-refundable costs and reserved project periods, to the extent this is reasonable.
If the client becomes unavailable or fails to deliver necessary input for more than 14 days without agreement, the project may be paused or terminated, and work completed will be invoiced.
The initial deposit is non-refundable once work has commenced.
14. Force Majeure Billie Brand Studio is not liable for delays or failure to perform due to circumstances beyond our reasonable control, including illness, power outages, system failures, supplier failure, natural events, government orders or other extraordinary circumstances.
15. Governing Law and Disputes These terms are governed by Norwegian law.
The parties shall seek to resolve any disputes amicably. If this is not possible, the dispute may be brought before the ordinary courts with Oslo District Court as the legal venue, unless mandatory legislation provides otherwise.
